Terms of Use
1. Agreement to These Terms
These Terms of Use (“Terms”) govern your access to and use of the website located at solhunde.com (the “Site”). The Site is owned and operated by Solhunde AI Consulting Inc. (“Solhunde,” “we,” “us,” or “our”). By accessing or using the Site, you (“you” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms apply only to your use of this Site. They do not govern any consulting services or engagements between you and Solhunde, which are addressed in Section 6 below.
2. About Solhunde
Solhunde AI Consulting Inc. is a private corporation incorporated under the laws of Alberta, Canada. We provide AI implementation, automation, and advisory services to Western Canadian industrial electrical and instrumentation (E&I) contractors and the broader industrial construction and energy services sector.
The Site is a marketing and information channel. It does not offer any account, login, subscription, or transactional functionality.
3. Permitted Use of the Site
First, you may access and view the Site for lawful, personal, and non-commercial informational purposes. In addition, you may use the Site to evaluate whether to engage Solhunde for consulting services. However, you agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Copy, reproduce, republish, distribute, or exploit any content from the Site for commercial purposes without our prior written consent
- Scrape, harvest, or systematically extract data from the Site by automated means
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Site
- Interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or related infrastructure
- Upload or transmit any malicious code, viruses, or harmful software
- Impersonate any person or misrepresent your affiliation with any person or entity
- Use any content from the Site to train machine learning or artificial intelligence models without our prior written consent
We reserve the right to restrict or terminate your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is otherwise harmful to Solhunde, the Site, or other users.
4. Intellectual Property
All content on the Site — including text, graphics, logos, images, layouts, design, code, and the Solhunde name and mark — is the property of Solhunde AI Consulting Inc. or its licensors. In addition, this content is protected by Canadian and international copyright, trademark, and other intellectual property laws.
Solhunde grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for the purposes described in Section 3. No other rights are granted. Any use of the Site or its content beyond what is expressly permitted is prohibited.
The tagline “A different angle on what’s possible” and the Solhunde name and mark are trademarks of Solhunde AI Consulting Inc. You may not use them without our prior written consent.
5. Informational Content — Not Professional Advice
The content published on the Site — including service descriptions, blog posts, case studies, frameworks, and other educational material — is provided for general informational purposes only. It is not legal, accounting, tax, financial, investment, engineering, or other professional advice. Therefore, it should not be relied upon as a substitute for advice from a qualified professional familiar with your specific circumstances.
Although Solhunde’s founder is a Chartered Professional Accountant (CPA) with experience in Western Canadian energy and industrial construction finance, no content on the Site is intended to create, and your use of the Site does not create, an accountant–client, advisor–client, or consultant–client relationship. A consulting relationship arises only upon execution of a written engagement letter as described in Section 6.
You should not act or refrain from acting on the basis of any content on the Site without seeking appropriate professional advice based on your particular situation.
6. Consulting Services Are Governed Separately
These Terms govern only your use of the Site. By contrast, any consulting, advisory, implementation, retainer, or development services provided by Solhunde are governed by a separate written engagement letter, statement of work, or master services agreement. This separate agreement is executed between Solhunde and the client. In other words, that separate agreement — not these Terms — sets out the scope of work, fees, payment terms, deliverables, intellectual property ownership, confidentiality obligations, warranties, indemnities, limitations of liability, and termination rights applicable to the engagement.
Nothing on the Site, including service descriptions or any contact form, constitutes an offer to provide services on any specific terms. All engagements are subject to scoping, mutual agreement, and execution of a written engagement letter.
7. Reserved
This section is intentionally left blank.
8. Demonstrations and Sample Content
The Site may link to or display sample dashboards, prototypes, demos, or other illustrative materials. These are provided for demonstration purposes only. Generally, they use anonymized, fictional, or generic data unless otherwise stated. Furthermore, they should not be interpreted as representations about any specific client, project, or outcome. Any resemblance to a particular business is incidental unless we have expressly identified the client and obtained their consent.
9. Third-Party Links and Services
The Site contains or may link to third-party websites and services, for example Google Workspace (email) and may in future include other tools. However, Solhunde does not control these third parties. As a result, Solhunde is not responsible for their content, terms of service, privacy practices, availability, or security. Your use of any third-party site or service is at your own risk. Therefore, it is subject to the terms and privacy policies of that third party.
The inclusion of any link does not imply endorsement, sponsorship, or affiliation.
10. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND TOOLS MADE AVAILABLE ON IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
SOLHUNDE DOES NOT WARRANT THAT: (A) THE SITE WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE INFORMATION ON THE SITE WILL BE ACCURATE, COMPLETE, OR CURRENT; OR (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED.
You use the Site and rely on its content at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLHUNDE AI CONSULTING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA — ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON IT, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF SOLHUNDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLHUNDE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
This limitation does not apply to liability arising under a written engagement letter for consulting services, which is governed by the terms of that engagement letter. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Solhunde AI Consulting Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your access to or use of the Site
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any rights of a third party, including intellectual property rights
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information submitted through the Site, including via the contact form and any direct correspondence. By using the Site, you consent to the data practices described in the Privacy Policy.
14. Modifications to These Terms
Solhunde reserves the right to modify these Terms at any time. To do so, we will post the updated Terms on the Site with a new Effective Date. As a result, your continued use of the Site after the updated Terms are posted constitutes your acceptance of the changes. Therefore, we encourage you to review these Terms periodically.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Conflict of law principles do not apply. Furthermore, you agree that any dispute arising out of or related to these Terms or your use of the Site shall be resolved as follows:
- Negotiation: The parties shall first attempt in good faith to resolve the dispute through direct negotiation for a period of 30 days.
- Mediation: If negotiation fails, the dispute shall be submitted to mediation administered by the ADR Institute of Alberta.
- Courts: If mediation fails, the dispute shall be brought exclusively before the courts of the Province of Alberta sitting in Calgary, and you consent to the personal jurisdiction of those courts.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Solhunde regarding your use of the Site, and supersede all prior or contemporaneous understandings or agreements, whether written or oral, relating to the Site. They do not supersede any separate written engagement letter or services agreement, which governs the consulting relationship as described in Section 6.
